Terms of Service

These Terms of Service ("Terms") govern your access to and use of the StayFull website at www.stayfull.ai, the StayFull application at app.stayfull.ai, and related services provided by StayFull Inc. ("StayFull," "we," "us," or "our"). By accessing or using the service, you agree to these Terms.

1. The service

StayFull provides a cloud-based property management and hotel operations platform, including AI-assisted workflows, integrations, and related tools (collectively, the "Service"). Features may change over time as we improve, add, or remove functionality.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a hotel, company, or other organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at support@stayfull.ai if you suspect unauthorized access.

3. Early access and beta features

Parts of the Service may be offered as early access, beta, or preview features. These features may be incomplete, change without notice, or be discontinued. We provide them on an "as is" basis while we continue development.

4. Subscriptions, fees, and payment

Paid plans, pricing, billing cycles, and payment terms will be presented to you at signup or in an order form. By subscribing, you authorize us and our payment processors to charge applicable fees and taxes using your selected payment method.

Unless otherwise stated in your plan or required by law, fees are non-refundable. We may change pricing for future billing periods with reasonable advance notice.

5. Your responsibilities

You agree to:

  • use the Service only for lawful hospitality and business purposes;
  • provide accurate account and property information;
  • comply with applicable laws, including privacy, consumer protection, and payment rules;
  • obtain any required notices, consents, and rights for guest, employee, and operational data you upload or process through the Service; and
  • maintain appropriate internal controls over who on your team can access the Service.

6. Guest and operational data

As between you and StayFull, you own the business and guest data you submit to the Service ("Customer Data"). You grant StayFull a limited license to host, process, transmit, and display Customer Data solely to provide, secure, and improve the Service as permitted by these Terms and our Privacy Policy.

You are responsible for your privacy notices, guest communications, and compliance obligations relating to Customer Data. StayFull acts as a service provider processing Customer Data on your instructions.

7. Acceptable use

You may not, and may not allow others to:

  • use the Service to violate law or third-party rights;
  • upload malware, attempt unauthorized access, or interfere with the Service;
  • reverse engineer or copy the Service except where permitted by law;
  • resell, sublicense, or provide the Service to third parties except as expressly allowed;
  • use the Service to send spam or deceptive communications; or
  • use automated means to access the Service in a manner that burdens our infrastructure.

We may suspend or terminate access for conduct that violates these Terms or creates risk for StayFull, other users, or third parties.

8. AI-assisted features

The Service may generate suggestions, summaries, drafts, or automated actions using artificial intelligence. AI outputs may be inaccurate, incomplete, or inappropriate for a particular situation. You are responsible for reviewing AI-assisted outputs before relying on them for pricing, guest communications, legal, financial, or operational decisions.

9. Third-party services

The Service may integrate with or link to third-party services such as payment processors, channel managers, identity providers, or communication tools. Third-party services are governed by their own terms and privacy policies. StayFull is not responsible for third-party services outside our reasonable control.

10. Intellectual property

StayFull and its licensors own the Service, software, branding, documentation, and all related intellectual property, excluding Customer Data. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service as intended.

11. Confidentiality

Each party may receive non-public information from the other. The receiving party will use the other party's confidential information only to perform under these Terms and will protect it using reasonable care.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAYFULL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAYFULL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAYFULL'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO STAYFULL FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

14. Indemnification

You will defend, indemnify, and hold harmless StayFull and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

15. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or if continued provision of the Service creates legal or security risk.

Upon termination, your right to access the Service ends. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnification.

16. Changes to these Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on this page and updating the effective date above. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

17. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

18. General

These Terms, together with any order form or plan terms presented at signup and our Privacy Policy, constitute the entire agreement between you and StayFull regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
